Parties to these Terms and Conditions
Research Analyst (RA): Mr. Aashish (SEBI Registered), operating under the brand name GrowMor Research, a SEBI Registered Research Analyst holding Registration No. INH000013174, with its registered office at House No. 138, North West Delhi , Hiranki, Delhi – 110036 (hereinafter referred to as the “Research Analyst” or “RA”).
Client: The individual or entity subscribing to or availing research services provided by the Research Analyst (hereinafter referred to as the “Client”).
Availing the Services
- By subscribing, the Client voluntarily avails the research services provided by the RA at their own discretion.
- The RA agrees to provide services strictly in accordance with SEBI (Research Analysts) Regulations, 2014, circulars, and amendments issued by SEBI from time to time.
Client Information & KYC
- The Client shall provide all required documents and complete the Know Your Client (KYC) process as mandated.
- The Client authorizes the RA to fetch KYC documents from the KRA (KYC Registration Agency).
Scope of Services
The RA provides research services that may include but are not limited to:
- Equity and F&O research recommendations (intraday, positional, and long-term).
- Market insights, research reports, and strategy reviews.
- Periodic portfolio guidance and sectoral reports.
- Risk management and investment-related educational content.
The RA does not execute trades or manage funds on behalf of the Client.
Disclaimers & Risk Factors
- Investment in securities markets is subject to market risk. Past performance does not guarantee future performance.
- Recommendations are based on analysis and available data but do not assure or guarantee returns.
- The Client shall be solely responsible for any losses or decisions taken based on research reports.
- SEBI registration, RAASB membership, and NISM certification do not guarantee performance or returns.
Fees & Mode of Payment
- The maximum fee chargeable is ₹1,51,000 per annum per family of clients, as per SEBI guidelines.
- Fees shall be paid only via official banking channels (UPI, NEFT, IMPS, Payment Gateway, etc.) directly to the RA’s registered account.
- No cash payments will be accepted.
- The RA may collect fees in advance, but not exceeding one year at a time.
- In case of premature termination, fees will be refunded on a pro-rata basis for the unexpired period, subject to SEBI rules.
Conflict of Interest & Independence
- The RA or its associates shall not trade in securities which are the subject matter of its research recommendations.
- No compensation is accepted from companies covered in recommendations.
- Any potential conflict of interest shall be disclosed transparently to the Client.
Termination of Services & Refund Policy
- Services may be terminated by the Client only if RA fails to provide research services.
- Discontinuation due to non-performance of markets or undesired returns shall not be a valid reason for refund.
- In case SEBI suspends or cancels the RA’s registration, proportionate fees will be refunded.

Confidentiality
- Client data, reports, and communications will be treated as confidential.
- Clients shall not share proprietary reports/research with third parties without prior written consent.
Most Important Terms
- The RA cannot execute trades on behalf of Clients.
- Assured/guaranteed/fixed return schemes are prohibited by SEBI.
- RA shall never ask for login credentials, OTPs, or access to Client trading/demat/bank accounts.
- Clients are advised to keep contact details updated.
- Clients must carefully read SEBI’s Do’s & Don’ts for dealing with Research Analysts (Master Circular SEBI/HO/MIRSD-POD-1/P/CIR/2024/49 dated May 21, 2024).
Governing Law & Jurisdiction
- Any disputes arising shall be subject to applicable Indian laws and resolved via arbitration or other mechanisms permitted under SEBI guidelines.
